Manager - Legal & Compliance

This role is responsible for

(1) adherence of entire compliance system of Addverb India;

(2) adherence of entire compliance system of the subsidiaries in Singapore and Australia

(3) managing insurances

Technical Skills Required

• Company Secretary
• Law Graduate (Preferable but not mandatory)
• Strong in MS excel, MS word, PDF editor and PPT

Job Responsibilities1Compliances & Corporate Governance

• Timely filing of forms with ROC
• Preparing notices, agendas, minutes to the directors and committees on time
• Managing Investors and responding in a timely manner
• In-depth knowledge of related party and related party transactions
• Website updation as per Companies Act
• Handling Secretarial Audit
• Sending MIS to Investor
• Ensuring CSR contribution
• Checking and obtaining compliance certificates
• Monitoring and informing regular updates in Companies Act
• Preparation of Annual Report
• Providing Support in Internal and External Audit
• Establishment and undertaking compliances of overseas Subsidiaries
• Gaining understanding on international laws
• RBI/FEMA compliances
• Managing insurances
