Senior Associate -Contract Review & Abstraction (Mumbai based candidates)

Job Summary

We are seeking an experienced, and detail-oriented Senior Associate – Contract Review & Abstraction to join our team.

The Senior Associate will be responsible for reviewing, analyzing, and abstracting a wide range of commercial contracts, with a particular focus on high-volume contract review and abstraction projects. The role requires strong contractual interpretation skills, exceptional attention to detail, and the ability to consistently deliver accurate, high-quality work within defined timelines and service-level requirements.

The Senior Associate will also take responsibility for assigned project workstreams, perform quality reviews, handle complex and non-standard contracts, support client requirements, and mentor junior team members.

The ideal candidate will be comfortable working with large contract populations, interpreting complex contractual provisions, following detailed client-specific playbooks, and maintaining a high level of accuracy and consistency under tight deadlines.

Key Responsibilities

Contract Review & Abstraction

• Review and analyze a broad range of commercial contracts, including Master Services Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), vendor agreements, customer agreements, licensing agreements, amendments, order forms, leases, and other commercial agreements.
• Perform detailed contract abstraction in accordance with client-specific instructions, playbooks, data dictionaries, and review guidelines.
• Identify, interpret, and accurately capture key contractual provisions, rights, obligations, and commercial terms.
• Identify and flag unusual, ambiguous, missing, conflicting, or commercially significant provisions.
• Review complex and heavily negotiated agreements requiring a higher degree of contractual judgment and interpretation.
• Apply client-specific abstraction rules consistently across different contract types and document populations.

High-Volume Project Delivery

• Work effectively on large-scale, high-volume contract review and abstraction projects involving significant contract populations and tight delivery timelines.
• Manage assigned contract volumes and prioritize work to meet project deadlines and agreed turnaround time, productivity, quality, and SLA targets.
• Maintain consistent accuracy and attention to detail while working with high volumes of contracts.
• Track assigned work and proactively communicate potential delays, challenges, or capacity constraints.
• Support project leadership in managing workflow, volumes, priorities, and project milestones.
• Adapt quickly to changes in project scope, client requirements, and review guidelines.

Quality Assurance & Quality Control

• Conduct detailed quality reviews of contract abstractions completed by Associates and junior team members.
• Ensure that abstracted data is accurate, complete, consistent, and aligned with the applicable review guidelines.
• Identify recurring errors, interpretation issues, and gaps in the review process.
• Participate in calibration exercises to ensure consistent interpretation and application of contractual provisions across the team.
• Provide clear and constructive feedback to team members to improve quality and productivity.
• Escalate complex contractual interpretation issues and exceptions to project leadership or the client, where appropriate.
• Contribute to the development and refinement of quality standards, checklists, SOPs, and review guidelines.

Team Support & Mentoring

• Mentor and support Associates and junior team members working on contract review and abstraction projects.
• Assist in training new team members on contract types, contractual provisions, client-specific playbooks, and abstraction methodologies.
• Serve as a subject matter resource for contractual interpretation and complex abstraction queries.
• Review team members work and provide guidance on improving accuracy, consistency, and efficiency.
• Support team leads and project managers in managing day-to-day project requirements.

Client & Stakeholder Management

• Participate in client meetings, calibration sessions, and project discussions as required.
• Understand and communicate client-specific requirements and review methodologies to the project team.
• Raise questions and seek clarification on ambiguous contractual provisions or abstraction instructions.
• Communicate project observations, exceptions, and recurring issues clearly and professionally.
• Support project leadership in preparing project updates and client reports.

Process Improvement & Technology

• Identify opportunities to improve the efficiency, consistency, and quality of contract review and abstraction processes.
• Contribute to the development of standardized review methodologies, templates, playbooks, and knowledge resources.
• Explore and leverage technology and AI-enabled tools to improve contract review and abstraction efficiency while maintaining appropriate quality and human oversight.
• Stay informed about developments in contract review technology, legal technology, AI-assisted document review, and contract analytics.

Qualifications

• Bachelor's degree in Law, Legal Studies, Business Administration, or a related field.
• 3–6 years of relevant experience in contract review, contract abstraction, legal services, legal process outsourcing, legal operations, or a similar environment.
• Demonstrated experience handling high-volume contract review and abstraction projects.
• Strong understanding of commercial contracts and commonly negotiated contractual provisions.
• Excellent ability to read, interpret, and analyze complex legal and commercial language.
• Strong attention to detail and ability to identify key contractual rights, obligations, risks, and exceptions.
• Experience working against defined quality, productivity, turnaround time, and SLA targets.
• Strong written and verbal communication skills.
• Excellent organizational skills and ability to manage multiple priorities in a deadline-driven environment.
• Ability to work independently as well as collaboratively within a distributed team.
• Proficiency in Microsoft Word and Excel.

Preferred Skills

• Experience reviewing and abstracting commercial contracts across multiple industries and jurisdictions.
• Experience handling complex, highly negotiated, or non-standard agreements.
• Experience performing quality control/quality assurance reviews.
• Experience working with contract abstraction platforms, document review platforms, or legal technology tools.
• Familiarity with AI-assisted contract review and document analysis tools.
• Experience developing or working with contract review playbooks, abstraction guidelines, SOPs, and data dictionaries.
• Experience mentoring or reviewing the work of junior associates or analysts.
• Strong Excel/data management skills.
• Legal qualification or additional certification in contract management, legal operations, or a related field is an advantage.
