Company Secretary - Legal & Compliance

About the Role:

We are looking for a qualified Company Secretary to lead Corporate Secretarial and Legal Compliance for the Company and its group entities in India and overseas.

The role will be responsible for corporate governance, statutory compliance, Board and Committee processes, FEMA/RBI compliances, corporate restructuring, and governance support for cross-border entities.

The ideal candidate should have strong experience in Corporate Secretarial and Legal Compliance within a technology company, along with hands-on exposure to Board/Committee matters, Companies Act, FEMA, RBI, ROC/MCA, and cross-border transactions.

Key Responsibilities:

- Own Corporate Secretarial and Legal Compliance for the Company and its group entities in India and overseas.

- Manage Board, Committee, and General Meetings, including notices, agendas, resolutions, minutes, Secretarial Standards, and statutory registers.

- Ensure compliance with the Companies Act, 2013, including ROC/MCA filings, incorporation, capital changes, ESOPs, and KMP compliances.

- Manage FEMA, ODI, and FDI compliances, including RBI FIRMS filings, valuations, regulatory reporting, and coordination with authorised dealer banks.

- Lead corporate restructuring initiatives across group entities, including entity closures, consolidation, capital restructuring, and regulatory cost analysis.

- Support foreign subsidiaries and JVs on incorporation, corporate governance, and cross-border corporate actions.

- Own and maintain the corporate compliance calendar and drive improvements in compliance processes using ERP, AI, and other compliance tools.

- Work closely with the CFO, Legal, Finance, and business teams on governance matters, compliance risks, and strategic transactions.

- Handle sensitive and confidential corporate matters with a high degree of integrity and professionalism.

Mandatory Requirements:

- Qualified Company Secretary (CS) - Associate/Fellow member of ICSI.

- 6 - 9 years of post-qualification experience as a Company Secretary.

- Current location should be Mumbai.

- Experience working with a technology / tech company is mandatory.

- Strong experience in Corporate Secretarial and Legal Compliance.

- Hands-on experience managing Board and Committee Meetings.

- Strong knowledge of the Companies Act, 2013, Secretarial Standards, and ROC/MCA processes.

- Strong hands-on knowledge of FEMA and RBI compliances.

- Experience with ODI/FDI compliances, RBI FIRMS filings, valuations, and reporting.

- Experience independently owning the CS function or working as a strong second-in-command in a mid-to-large organization.

Preferred Skills:

- Experience with foreign subsidiaries, JVs, and cross-border corporate actions.

- Exposure to corporate restructuring, entity closure, consolidation, and capital restructuring.

- LL.B. qualification will be an advantage.

- Strong drafting and documentation skills.

- Proficiency in MS Office.

- Comfortable working with ERP, AI, and compliance technology tools.

- Strong stakeholder management and communication skills.

- Ability to handle highly sensitive and confidential matters with discretion and integrity.
