About this role
This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a TAS Tax Director based in the United States.
This is a senior leadership opportunity to build and expand a transaction-focused tax diligence practice within a growing advisory environment. You will shape the strategic direction of tax diligence services while advising sophisticated clients throughout complex transactions. The role combines technical tax expertise with significant responsibility for business development, client relationships, and practice growth. You will advise private equity firms, strategic buyers, family offices, and other transaction stakeholders on tax risks, opportunities, and structuring considerations. The position offers broad exposure to M&A activity, cross-functional collaboration, and high-impact engagements in a fast-paced environment. You will also build and develop a high-performing team while helping establish scalable processes and integrated transaction solutions. This role is well suited to an entrepreneurial tax leader who wants to influence both client outcomes and the long-term growth of a specialized practice.
Accountabilities: Lead the strategic direction, growth, and overall performance of the Transaction Advisory Services tax diligence practice, establishing priorities, service offerings, and growth initiatives.
Lead tax due diligence engagements for private equity firms, strategic acquirers, family offices, corporate sellers, and other transaction participants, ensuring high-quality and timely delivery.
Identify and communicate tax risks, opportunities, structuring considerations, and potential implications associated with acquisitions, divestitures, recapitalizations, and restructurings.
Collaborate with federal, state, local, international, and other tax specialists to deliver comprehensive solutions for complex transaction matters.
Review acquisition agreements, merger agreements, purchase agreements, and related transaction documentation to identify tax considerations and support negotiations around tax-related provisions.
Partner with financial due diligence and other advisory teams to develop integrated solutions and deliver a consistent client experience throughout the transaction lifecycle.
Build, mentor, and develop a high-performing team, providing coaching, performance management, feedback, and opportunities for professional growth.
Maintain accountability for engagement quality, risk management, client satisfaction, budgets, realization, billing, collections, and overall financial performance.
Develop executive-level relationships across the private equity, investment banking, legal, lending, and M&A communities to generate new business and strengthen referral networks.
Partner with business development and firm leadership on proposals, pitches, pursuit strategies, engagement scoping, fee discussions, and the development of Tax Quality of Earnings and tax diligence opportunities.
Represent the practice at conferences, networking events, industry organizations, and thought leadership initiatives to increase market visibility and generate opportunities.
Identify cross-selling opportunities and collaborate across service lines to provide broader transaction-related solutions.
Review tax assumptions, calculations, and implications within transaction models, forecasts, and financial projections, providing actionable guidance to clients and deal teams.
Monitor transaction activity, market trends, competitive dynamics, emerging technologies, and industry developments to identify new opportunities and strengthen the practice's market position.
Requirements:
Bachelor's degree in Accounting, Finance, Taxation, or a related field is required; a Master's degree in Taxation is preferred.
Active CPA certification is required; MST, JD, and/or LLM credentials are preferred.
At least 10 years of progressive tax advisory experience, including substantial experience in transaction tax diligence, tax structuring, and consulting.
Demonstrated success leading tax due diligence engagements for private equity firms, strategic acquirers, and middle-market organizations.
Strong understanding of U.S. federal, state and local, and international tax considerations affecting mergers, acquisitions, divestitures, restructurings, and other transactions.
Proven ability to identify, evaluate, and clearly communicate complex tax risks, opportunities, and structuring considerations to executives, investors, attorneys, and other transaction stakeholders.
Experience reviewing and analyzing purchase agreements, merger agreements, acquisition documents, and related legal documentation.
Strong business acumen and the ability to translate sophisticated tax concepts into practical, actionable recommendations.
Demonstrated success building client relationships, generating new business, and contributing directly to professional services practice growth.
Established relationships within private equity, investment banking, legal, M&A, or related transaction communities are highly desirable.
Experience leading proposals, presentations, pitches, and pursuit activities, with a track record of contributing to revenue growth.
Comfortable leading business development conversations, including engagement scoping, fee negotiations, and articulating value propositions to prospective clients.
Proven experience building, leading, mentoring, and developing high-performing professional services teams.
Excellent leadership, project management, written communication, verbal communication, analytical, and problem-solving skills.
Ability to manage multiple complex engagements and competing priorities effectively in a fast-moving transaction environment.
Advanced Microsoft Excel skills and experience using data analytics to support transaction-related analysis.
Demonstrated professional judgment, accountability, entrepreneurial thinking, intellectual curiosity, and an ownership-oriented approach to leadership.
