Senior Manager Legal | Project Finance

Key Responsibilities

• Lead the review, drafting, negotiation, and execution of project finance documentation with lenders, financial institutions, investors, and other transaction counterparties.
• Act as the primary legal liaison between internal stakeholders, external legal counsels, and lenders' counsels to ensure timely closure of financing transactions while effectively managing legal and commercial risks.
• Analyze financing documents and provide practical legal advice on contractual obligations, risk allocation, regulatory compliance, and transaction structures to support business objectives.
• Maintain comprehensive documentation, version control, transaction trackers, and legal records for all project finance matters, ensuring compliance with internal governance and audit requirements.
• Develop a strong understanding of project financing structures and ensure all legal documentation aligns with approved commercial terms, company policies, and applicable laws.
• Review, draft, and negotiate key financing and security documents, including:
• Facility Agreements
• Term Sheets
• Debenture Trust Deeds
• Security Documents
• Indemnities
• Powers of Attorney
• Guarantees
• Inter-Creditor Agreements
• Escrow Agreements
• Other ancillary project finance documentation as required.
