Senior Corporate Legal Manager

Role & responsibilities

To strengthen the Corporate Legal function by providing high-quality legal and commercial support to the organisation. The role will be responsible for commercial contracts, corporate transactions, legal and regulatory advisory, legal risk management, dispute management and strategic legal matters.

Preferred candidate profile

• Draft, review, negotiate and finalise commercial and corporate agreements, including supply, purchase, sales, service, vendor, contractor, technology/SaaS, licensing and NDA agreements.
• Identify legal, contractual and commercial risks and recommend appropriate mitigation measures.
• Provide legal support for M&A, acquisitions, investments, joint ventures, business transfers, restructuring and other strategic transactions.
• Conduct and coordinate legal due diligence and review transaction documents including Share Purchase, Shareholders, Business Transfer, JV and Investment Agreements.
• Provide legal and regulatory advice on corporate, commercial, contractual, environmental, employment and other applicable laws, including monitoring key regulatory developments.
• Manage commercial disputes, contractual claims, legal notices, arbitration and litigation matters in coordination with external counsels.
• Support legal aspects of major projects, capex contracts and strategic business arrangements.
• Review technology, digital, software/SaaS, data privacy and DPDP-related contracts and legal requirements.
• Develop and standardise contract templates, key clauses, legal documentation and contract governance processes.
• Manage external law firms, advocates and legal consultants for specialised assignments.
• Work closely with Business, Procurement, Sales, Projects, Operations, HR, IT and Secretarial teams to provide practical, business-oriented legal advice while balancing commercial objectives and legal risks.
