Key Responsibilities

Secretarial, Compliance & Legal

• Ensure compliance with Companies Act, corporate laws, and regulatory requirements.
• Manage Board, Committee, AGM/EGM processes, resolutions, and statutory records.
• Oversee statutory filings, secretarial audits, compliance monitoring, and governance practices.
• Ensure compliance with Factory Act, labour laws, environmental regulations, licenses, and permits.
• Handle share capital transactions, corporate actions, restructuring, mergers, and related documentation.
• Liaise with regulatory authorities, legal advisors, and internal stakeholders.
• Identify compliance risks, drive ethics and whistle-blower programs, and maintain audit readiness.

Internal Audit & Risk Management

• Assess internal controls and identify operational, financial, and compliance risks.
• Conduct audits of production, inventory, procurement, finance, payroll, HR, and IT systems.
• Review cost controls, inventory management, vendor processes, CAPEX, and budget performance.
• Ensure compliance with tax, labour, environmental, safety, and governance requirements.
• Investigate fraud risks, whistle-blower complaints, and recommend corrective actions.
• Prepare audit reports, track implementation of recommendations, and support Audit Committee reporting.

Preferred candidate profile

ACS with BL / LLB with 10 plus years of experience in Secretarial Compliance, Internal Audit, Risk & Legal Functions.
