SA - Company Secretary

Role & responsibilities

• Support compliance under the Companies Act and applicable rules; maintain a compliance calendar and follow up on deadlines.
• Prepare draft notices, agendas, resolutions and minutes for Board, committee and shareholder meetings; track action items.
• Prepare and coordinate ROC/MCA filings, statutory forms, registers and other secretarial records for review.
• Assist with annual returns, annual report inputs and documentation for secretarial audits; track closure of observations.
• Support documentation and filings for share issuances, fundraising, corporate transactions and ESOP administration.
• Assist with applicable FEMA/FDI compliance and regulatory submissions under the guidance of the CS Lead.
• Coordinate with finance, legal, auditors, practising company secretaries and other advisers to gather information and resolve queries.
• Monitor relevant regulatory updates and help maintain accurate, confidential and accessible corporate records.

Preferred candidate profile

• Qualified Company Secretary and member of the Institute of Company Secretaries of India (ICSI).
• 12 years of relevant experience in secretarial compliance or a corporate secretarial practice.
• Working knowledge of the Companies Act, Secretarial Standards and MCA/ROC filing processes.
• Strong drafting, communication, attention to detail and ability to manage multiple deadlines.
