Key responsibilities:

Evaluation of opportunities:

1. Work with senior team on screening opportunities and coordinating feedback from business teams
2. Develop relations with various investment banks to obtain possible acquisition ideas/ opportunities
3. Support in identifying buyers and execution of internal divestment opportunities

 

Financial analysis and Due Diligence

1. Review financial statements, cap table, management projections etc.
2. Support in appointment of external advisors as required
3. iii. Coordinate with cross functional teams and external advisors for undertaking due diligence
4. iv. Coordinate with target/bankers for information flow
5. v. Co-ordinate with cross functional teams on DD outcomes, identification of risks and mitigation

 

Business case, financial model and valuation assessment

1. Work with business teams to develop projections, validate assumptions and identify synergies
2. Develop the business case/financial model for the opportunity, valuation range and return analysis

 

Preparation of Presentations, Notes and Term sheets 

1. Prepare presentations with analysis of the opportunities, valuation and recommendations for internal approvals
2. Support in drafting of binding/ non-binding offers

 

Documentation, structuring, Transaction closing and Post closing

1. Support in negotiations, documentation and closing of transaction
2. Coordinate with internal legal team & external lawyers, tax and functional teams
3. Support in post-closing activities including but not limited to necessary regulatory filings, stock exchange reporting, press releases and other post-closing activities
4. Support post acquisition integration and post-acquisition performance monitoring & periodic reviews.

Job Requirements

Educational Qualification

 MBA  (Tier 1 College) or CA (First Attempt)

Undergrad: B.Tech, BCom, BPharm, MBBS or BVSC.

Experience:

2 - 5 years of M&A / Transaction experience post qualification from a corporate or investment bank
