Role & responsibilities

Role Summary

We are seeking an experienced Finance Manager for long term duration to support the company's transition from an Unlisted Public Company to a Listed Entity through a successful Initial Public Offering (IPO). The role will be responsible for financial planning, reporting, regulatory compliance, internal controls, audit coordination, investor due diligence support, and IPO readiness initiatives. The candidate will work closely with the Company Secretary, Merchant Bankers, Auditors, Legal Advisors, and other stakeholders throughout the IPO journey.

Key Responsibilities

Financial Reporting & Control

• Manage monthly, quarterly, and annual financial reporting.
• Ensure compliance with Companies Act, applicable accounting standards.
• Preparation of audited and restated financial statements for IPO.
• Strengthen financial controls and governance framework.
• Develop management dashboards and KPI reporting.

IPO Readiness

• Support preparation of DRHP/RHP financial information.
• Coordinate with Merchant Bankers, Legal Counsel, Registrars, and Auditors.
• Manage IPO due diligence requirements and data room documentation.
• Assist in preparing investor presentations and financial disclosures.
• Ensure readiness for public company reporting requirements.
• Support implementation of enhanced internal control frameworks and governance processes.

Financial Planning & Analysis and Business Partnering

• Lead budgeting, forecasting, and long-range planning.
• Liaisoning with Banks and Financial Institutions
• Analyze revenue streams, project profitability, and margins.
• Support strategic decision-making through financial models.
• Drive working capital and cash flow optimization.
• Provide board and management presentations.

Compliance & Governance

• Ensure compliance with: 
• Companies Act, 2013
• Income Tax
• GST
• SEBI regulations (as applicable during IPO process)
• Other applicable laws
• Support statutory, internal, secretarial, and tax audits.
• Work closely with the Company Secretary regarding corporate governance requirements.

• Investor & Stakeholder Management
• Investor communications.
• Prepare responses for investor, merchant banker, and auditor queries.
• Support valuation exercises and capital raising activities.
• Due diligence preparation activities.

Team Leadership

• Lead finance and accounting team.
• Review and modifications in SOPs and process documentation.
• Drive automation through ERP and reporting tools.
• Mentor team members and improve finance processes.

Qualifications

Essential

• Preferably Chartered Accountant (CA)
• 1015 years post-qualification experience
• Experience in IT Services, Software, Technology sector
• Strong knowledge of Ind AS and financial reporting

Preferred candidate profile

• Experience in IPO / Pre-IPO company
• Experience with fundraising, private equity, venture capital, or listed-company reporting
