About this role
IMPORTANT: Read everything thoroughly before you evaluate yourself about applying. Let us value one another's time.
Position Overview
Sunfield Advisors is a U.S. based cross-border M&A advisory firm serving founders, corporate acquirers and private equity investors in the lower middle market, typically $10 million to $100 million in enterprise value (EV).
Our main sectors are IT services, technology consulting, IT staffing, MSP/VAR, SaaS, healthcare staffing and related business services.
We are hiring an M&A Associate for our transaction-execution team in India. Our U.S. team sources each deal and owns the client relationship.
The Associate works closely with the U.S. partners and is responsible for financial analysis, valuation, transaction materials, buyer and target research, process management and due diligence on live buy-side and sell-side mandates.
This is an individual contributor role at the start, with a path to leading junior analysts as the India team grows.
Responsibilities
- Execute buy-side and sell-side M&A assignments from engagement through closing, after the U.S. team signs the client.
- Prepare financial models, operating forecasts, valuation analyses and transaction scenarios.
- Analyze historical and projected performance, adjusted EBITDA and working capital.
- Conduct comparable-company, precedent-transaction and discounted cash flow valuations.
- Prepare teasers, confidential information memorandums (CIMs), management presentations and investment summaries.
- Build and evaluate lists of strategic buyers, financial sponsors and acquisition targets.
- Conduct industry, company, transaction and market research.
- Manage confidential outreach to buyers and targets by email and scheduled video calls, and track NDAs and transaction communications. This role does not include cold calling.
- Prepare clients for management presentations, buyer meetings and target-company discussions.
- Evaluate IOIs, LOIs, transaction structures, rollover equity, earnouts and other commercial terms.
- Manage virtual data rooms, due diligence requests and transaction trackers.
- Coordinate with accounting, legal, tax, quality-of-earnings and financing advisers.
- Maintain accurate transaction pipelines and activity records in the firm's CRM.
- Manage multiple transaction workstreams and meet deadlines.
Required Qualifications
- 4 to 7 years of M&A, investment banking, corporate finance, transaction advisory or deal-advisory experience.
- Experience with an investment bank, Big Four firm, corporate finance adviser or established M&A boutique.
- Direct involvement in at least three live M&A transactions across multiple stages, beyond pitch preparation and preliminary research.
- Advanced financial modeling, valuation, EBITDA normalization and financial-statement analysis skills.
- Experience preparing professional transaction materials, including CIMs and teasers.
- Experience building buyer or target lists for live transactions.
- Strong understanding of M&A structures, due diligence and transaction processes.
- Excellent written and spoken English and the ability to produce client-ready work with limited supervision.
- At least four hours of daily overlap with U.S. Eastern Time (for example, 6:30 PM to 10:30 PM IST).
Preferred Qualifications
- Experience across both buy-side and sell-side mandates.
- Experience in technology, IT services, IT staffing, MSP/VAR, SaaS, healthcare staffing or business services.
- U.S. or cross-border transaction experience, including work with U.S. owner-managed company financials and U.S. GAAP.
- Experience reviewing or comparing IOIs and LOIs.
- Experience working directly with founders, corporate executives, private equity firms or strategic acquirers.
- Experience with quality-of-earnings analysis and working-capital negotiations.
- MBA, CA, CFA or comparable professional qualification.
- Notice period of 60 days or less.
You Should Apply If You Meet Most of These Qualifications
We do not expect every candidate to meet every qualification. If you have live M&A deal experience and meet most of the requirements above, we encourage you to apply and explain your experience in your deal sheet.
This role is not a fit for candidates whose experience is limited to banking operations, branch banking, credit, audit, accounting, equity research or wealth management, without live M&A deal execution.
Technology and Data Platforms
- Financial data: S&P Capital IQ, PitchBook, FactSet, Bloomberg or Refinitiv.
- Research: ZoomInfo, Apollo.io, LinkedIn Sales Navigator, Grata or SourceScrub.
- CRM: DealCloud, HubSpot, Salesforce, Affinity or Attio.
- Data rooms: Datasite, Intralinks, DealRoom, FirmRoom or a comparable platform.
Experience with every platform is not required. Advanced proficiency in Microsoft Excel and PowerPoint is required.
What Sunfield Offers
- Direct involvement in active U.S. and cross-border M&A transactions.
- Experience across buy-side and sell-side mandates.
- Significant transaction ownership and direct work with the U.S. partners.
- A remote, full-time, permanent position.
- Performance-based compensation and career advancement based on execution, judgment and leadership.
Application Requirements
- Current resume and an anonymized deal sheet covering at least three live M&A transactions.
- For each transaction: sector, approximate size, buy-side or sell-side, stage reached and your specific responsibilities.
- Current CTC, expected CTC and notice period.
Shortlisted candidates will share a redacted sample of transaction materials and complete a practical M&A case study covering financial analysis, valuation and transaction strategy.
