Legal Cum Secretarial Manager

Key Responsibilities:

Core Legal Operations (Primary Focus)

• Contract Management: Draft, review, and independently negotiate various corporate contracts including business contracts vendor contracts, corporate leases, and procurement agreements etc.
• Litigation Control: Track all ongoing group-wide court cases (Civil, Criminal, Labour) and manage coordination with external panel advocates.
• Legal Notices: Draft precise replies to statutory/government notices and issue legal notices to defaulting parties.
• IPR Protection: Legal understanding; handle applications, renewals, and legal monitoring for all company Trademarks and brand assets.
• Other allied activities.

Concise Secretarial Support (Supporting Focus)

• MCA / RoC Filings: Ensure timely online submission of statutory annual returns and event forms via the MCA21 portal (AOC-4, MGT-7, MGT-14, DIR-12, DPT-3, MSME-1, CHG-1) etc
• Board Interfacing: Coordinate agendas, notices, and operational support for the Board of Directors, Audit Committees, and AGMs etc
• Minutes Book Integrity: Draft structured Board and Committee Minutes within 15 days, maintaining compliance with required legal timelines etc.
  

Core Skills required:

• Excellent corporate contract drafting, legal research, and notice remediation skills.
• Good practical understanding of the corporate law, codes,and other allied law.
• Clear and professional verbal and written communication capabilities in English and Hindi.
• Minimum 5+ Years (Manufacturing / Distillery / FMCG industry experience preferred)
