About this role
Role Key Resonsiblities:
- Contract Management Negotiation
? Draft, review, and negotiate a broad range of commercial agreements, including client service contracts, NDAs, MSAs, SOWs, and vendor agreements.
? Ensure contracts are aligned with business objectives while minimizing legal and financial risks.
? Provide legal input on pricing structures, liability, indemnity, IP ownership, and confidentiality clauses. - Legal Advisory Risk Management
? Serve as a trusted advisor to leadership on legal risks, regulatory changes, and contractual issues.
? Identify and mitigate legal and compliance risks across the organization.
? Monitor and advise on changes in laws and regulations relevant to consulting services (e.g., employment law, data protection, international trade). - Regulatory Compliance Ethics
? Ensure firm compliance with applicable laws and industry standards (GDPR, FCPA, local labor laws, etc.).
? Support internal policies around ethics, anti-corruption, and conflict of interest.
? Assist with training staff on legal and compliance topics. - Corporate Governance
? Support corporate legal matters such as entity formation, board resolutions, and corporate filings.
? Collaborate with finance and HR teams on equity, employment, and governance issues. - Intellectual Property Data Privacy
? Advise on IP rights related to deliverables, proprietary methodologies, and client engagements.
? Review data processing agreements and ensure compliance with data protection regulations.
? Support the development of IP protection and usage policies. - Dispute Resolution
? Manage pre-litigation disputes, support internal investigations, and coordinate with external counsel as needed.
? Handle legal correspondence and represent the firm?s interests in negotiations or legal proceedings
