Nava is building the next generation of AI infrastructure and cloud platforms. As we scale globally, we're looking for a Legal Counsel who can partner closely with business teams, navigate complex commercial transactions, and help build a robust legal and compliance function across multiple jurisdictions.

This role is ideal for someone who enjoys working in a fast-paced, high-growth environment and has experience supporting cross-border commercial and strategic initiatives.

What You'll Do

Commercial Contracts

• Lead the drafting, review, negotiation, and execution of a wide range of commercial agreements, including:
• Customer and vendor agreements
• AI/GPU infrastructure contracts
• Data Processing Agreements (DPAs)
• Co-location and data centre agreements
• Utility and power agreements
• NDAs, SaaS, procurement, and technology agreements
• Develop and maintain contract templates, playbooks, SOPs, and negotiation guidelines to improve efficiency and consistency.
• Partner with Finance, Commercial, Product, Procurement, and Leadership teams to ensure contracts appropriately balance business objectives with legal risk.
  

Corporate & Strategic Transactions

• Support mergers & acquisitions, fundraising, joint ventures, strategic partnerships, and other corporate transactions.
• Coordinate legal due diligence and assist in transaction execution across multiple jurisdictions.
• Support corporate governance activities, including:
• Board resolutions
• Shareholder documentation
• Cap table management
• Entity governance and statutory filings
  

Regulatory & Compliance

• Advise on regulatory and operational matters relating to cloud infrastructure, AI platforms, data centres, and neo-cloud businesses.
• Monitor evolving regulatory frameworks across Singapore and the broader APAC region, providing practical guidance to internal stakeholders.
• Collaborate with cross-functional teams to strengthen compliance processes and mitigate legal and operational risks.
  
  

What We're Looking For

• 4+ years of Post Qualification Experience (PQE), preferably with a combination of top-tier law firm and in-house experience.
• Strong experience negotiating complex commercial agreements.
• Experience supporting cross-border transactions and multi-jurisdictional legal matters.
• Exposure to M&A, fundraising, strategic partnerships, or corporate transactions.
• Understanding of corporate governance and secretarial matters.
• Experience in cloud computing, AI infrastructure, data centres, technology, or digital infrastructure is strongly preferred.
• Familiarity with Singapore and APAC regulatory environments is a plus.
• Strong commercial judgment with the ability to provide practical, business-oriented legal advice.
• Excellent drafting, negotiation, stakeholder management, and communication skills.
