primarily India-based, along with select US-based vendors.
This role operates on an afternoon/evening shift (2:00 PM to 11:00 PM IST) to ensure adequate overlap
and real-time collaboration with US-based business partners, legal colleagues, and client teams.
As an Individual Contributor, you will collaborate with US- and India-based legal team members,
business partners, sales leads, and operations teams to align on contract terms while managing liability,
privacy risks, and regulatory requirements.
Primary Job Role
1. US Healthcare Transactions: Draft, review, and negotiate sell-side commercial
agreementsincluding Master Services Agreements (MSAs), Statements of Work (SOWs),
Business Associate Agreements (BAAs), and Amendments—serving as the primary legal contact.
2. Vendor Contracting: Structure, review, and negotiate buy-side vendor agreements, independent
contractor agreements, software licenses, and procurement contracts, supporting mostly India-
based vendors alongside US-based vendors.
3. Risk, Data Privacy & IP Assessment: Evaluate commercial terms, service level agreements
(SLAs), data privacy requirements (HIPAA, DPDP Act 2023), and intellectual property
provisions to identify potential liability exposure and safeguard company assets.
4. Global Legal & Business Alignment: Partner with internal business teams and collaborate with
US- and India-based legal colleagues to align contracting strategies and apply risk mitigation
standards across engagements.
Key Responsibilities
• Independent Contract Negotiation: Draft, review, and negotiate client and vendor contracts as
an individual contributor with minimal supervision, using legal experience and negotiation skills
to resolve open terms.
• Healthcare Privacy & Compliance: Handle US healthcare privacy regulations
(HIPAA/HITECH) within client agreements, ensuring proper execution of Business Associate
Agreements (BAAs) and standards for handling Protected Health Information (PHI).
• Vendor Procurement: Manage contract reviews for vendors—primarily located in India, with
some in the US—ensuring adherence to local laws, tax guidelines (GST/TDS), cross-border
payments, and data privacy regulations (such as India's DPDP Act 2023).
• Deal Support & Commercial Advice: Provide legal advice to sales and business colleagues
during deal cycles to support business goals while mitigating organizational risk.
• Contracting Best Practices: Support the adoption of standard contract templates, fallback terms,
and workflows.
• Cross-Functional Collaboration: Build working relationships with internal teams, including
Sales, Finance, Human Resources, Information Security, Operations, and Compliance.
Qualifications & Key Requirements
Education
• LLB or LLM from a recognized law school or university.
Experience
• 10+ years of Post-Qualification Experience (PQE) in IT/ITeS, technology outsourcing, or
healthcare services sectors.
• Experience negotiating commercial contracts with US-based clients.
• Practical experience handling vendor procurement contracts, primarily in India, along with
exposure to US vendor agreements.
Functional Competencies
• Contract Drafting & Research: Solid drafting, legal analysis, and research skills for both client-
facing and procurement agreements.
• Cross-Border Contracting: Understanding of cross-border IP terms, liability allocation, and
dispute resolution across US and Indian jurisdictions.
• US Healthcare Legal Framework: Working knowledge of HIPAA/HITECH, Business
Associate Agreements (BAA), PHI requirements, and standard US commercial contract terms
(Governing law, Indemnification, Liability caps).
Working Style
• Shift Availability: Willingness and ability to regularly work the 2:00 PM to 11:00 PM IST shift
to align with US business hours and client deal cycles.
• Self-Direction: Ability to work independently as an individual contributor in a structured work
