Legal Commercial Manager/Lead

Job Summary:

The Legal Manager Captive Power Plant and Commodities Trading - is a pivotal role within the organization, responsible for providing expert legal guidance and support to the power and commodities trading division. This position requires a deep understanding of the legal and regulatory landscape governing international power plant compliance, as well as the ability to navigate complex contractual agreements and mitigate legal risks. You will work closely with the legal team to ensure that all transactions are conducted in compliance with applicable laws and regulations, while also safeguarding the company's interests. This role demands a proactive approach to identifying potential legal issues and developing strategies to address them, ensuring the smooth and lawful execution of work activities.

Key Responsibilities:

• Draft, review, and negotiate a wide range of contracts related to power plant, including but not limited to sale and purchase agreements, financing and offtake arrangements, transportation contracts, storage agreements, corporate guarantees, and joint venture agreements.
• Ensure that all contracts are compliant with relevant legal standards and reflect the company's best interests.
• Maintain a comprehensive database of all contracts and related documents for easy access and reference.
• Monitor and interpret international, federal, and local laws and regulations affecting Brown field & Greenfield projects.
• Advise the legal team on compliance requirements and ensure that all legal activities adhere to these regulations.
• Develop and implement compliance programs and policies to mitigate legal risks.
• Identify and assess legal risks associated with plant operation activities.
• Provide strategic legal advice to the legal team to minimize potential liabilities and ensure the protection of the company's assets.
• Develop risk mitigation strategies and contingency plans for potential legal issues.
• Provide ongoing legal advice to the team on a variety of issues, including market access, regulatory requirements, and contractual obligations.
• Stay informed about industry trends and developments to provide timely and relevant legal guidance.
• Assist in the development of work strategies that align with legal and regulatory requirements.
• Work closely with other departments, including compliance, finance, and operations, to ensure a cohesive approach to smooth functioning of plant activities.

Professional Experience:

1. Between 15 to 20 years of experience in a reputed firm of solicitors or corporate house, with specialist experience in the captive power plant industry, finance, M&A, and dispute resolution.
2. Deep expertise and practical experience in applicable laws including statute law, secondary legislation, and jurisprudence.
3. Practical experience dealing with commercial laws and corporate laws of the United Kingdom or the USA is desirable.
4. Exposure to dealing with top-notch international solicitor firms and reputed law firms.

Professional Qualification:

• A full-time law qualification from a reputed institution or university.
• Specialist postgraduate qualification related to the energy sector.
