Role & responsibilities

1. Commercial Contracts & Transaction Support

• Draft, review and negotiate commercial agreements, NDAs, MSAs, vendor/customer contracts, MoUs, leases and consultancy agreements.
• Review and negotiate EPC contracts, PPAs, tenders and strategic agreements.
• Manage contract templates and contract management processes.
• Identify contractual risks and recommend appropriate mitigation measures.
• Lead contract negotiations with clients, vendors and authorities.

2. Legal Advisory & Business Support

• Provide legal opinions and practical advice on corporate, commercial, civil, labour and regulatory matters.
• Advise business teams on tenders, RFPs/RFQs, PPAs, EPC contracts and project-related legal matters.
• Research and interpret applicable laws, regulations and judicial precedents.
• Advise management on significant legal and regulatory risks.

3. Corporate Governance & Compliance

• Conduct periodic legal and statutory compliance reviews covering PF, ESI, GST, TDS, PT, LWF and other applicable compliances.
• Prepare compliance status reports and recommend corrective actions.
• Prepare and review corporate approvals, declarations and authorization documents.
• Support due diligence, restructuring and transactional activities.
• Monitor legal and regulatory developments affecting the business.

4. Litigation & Dispute Resolution

• Manage litigation, arbitration, mediation, consumer disputes and recovery proceedings.
• Draft legal notices, replies, pleadings, affidavits and other legal documents.
• Represent the Company before courts, tribunals and statutory authorities, where authorized.
• Coordinate with external advocates and legal consultants.
• Maintain litigation trackers and provide regular case status updates.

5. Employment & Labour Law

• Advise HR and management on employment and labour law matters.
• Handle disciplinary proceedings, workplace investigations and employee-related legal matters.
• Draft and review employment agreements, HR policies and employee handbooks.
• Support the Company in labour disputes and proceedings.

6. Intellectual Property & Data Privacy

• Advise on IP protection, registration, licensing and enforcement.
• Review IP licensing and technology agreements.
• Advise on confidentiality, data privacy and information governance matters.

7. Stakeholder Management

• Act as the primary legal point of contact for HR, Finance, Procurement, Tax and other business functions.
• Report to management on legal risks, litigation and compliance matters.
• Manage relationships with external law firms, consultants, regulators and government authorities.
