Head Company Secretary

Role & responsibilities

1. Ensure all the company secretarial compliances required to be maintained by listed entity are adhered.
2. Organize timely Board meeting , AGM, Audit Committee Meetings, Committee meetings of Holding and subsidiaries, appointment and retirement of Directors, Auditors, and Key Management personnel. Draft and circulate the Agenda, Notices, Resolutions with explanatory statements, Minutes of meeting, Action taken reports, and outcomes for uploading to stock exchange. Organize voting including postal ballot, wherever applicable.
3. Comply with all rules & regulations of Companies Act, SEBI, ICSI Standards, CLB, ROC, Securities regulations including filing of returns, response and meeting the regulatory authorities
4. Compilation of Annual Report, Reviews and circulation. Reviewing the websites and changing as per the regulatory authorities.
5. Managing the investor relations, timely grievance sorting of investors, holding regular investor committee meeting, transfer of shares, managing dividend payments and maintaining the documents, and record keeping including RTA management.
6. Complying with all compliance requirement and auditing standards of ICSI
7. Coordinating with legal team and consultants wherever disputes are being litigated

Preferred candidate profile

• B Com and CS must
• 18+ years experience in handling Company Secretarial
• MUST Having experience in working in listed entity
• Preferred Understands Oriya and Hindi, besides strong command in English language
