u00B7 This is a team management role with 3 Company Secretary reporting into to this position
u00B7 Assisting in conducting Board and Committee meetings.
u00B7 Liaison and coordination with directorsu2019 office, regulatory officials.
u00B7 Independently drafting the agenda and prepare Minutes of Board meetings, General meetings & various Board Committees.
u00B7 Independently handling the end-to-end compliances and requirements of related party transactions.
u00B7 End to end responsibility and ownership for task assigned e.g. Board / Committee Meetings.
u00B7 Review of the end-to-end process of issuance of Non u2013 Convertible Debentures (NCD) and Commercial paper (CP) under private placement.
u00B7 Independently handle work related to rights issue of shares.
u00B7 Review of NCD/ Debt related SEBI NCD/ Deb. Trustee compliances.
u00B7 SEBI LODR compliances and review of filings with stock exchanges.
u00B7 Ensuring compliances with provisions of Companies Act and Rules, Insider Trading Regulations, Listing Regulations, and related regulations as applicable to company.
u00B7 Independently handle work relating to AGM, preparation of Directors report/Corporate Governance.
u00B7 Review of minutes of Bank Borrowings and allotment of NCDs and CPs.
u00B7 Co-ordinating with the Secretarial/statutory Auditor for completion of Secretarial / statutory Audit.
u00B7 Coordinate & liaison for adherence pertaining to various compliances as per corporate laws with various departments as well as statutory authorities such as ROC, SEBI, etc.
Interaction and coordination with various internal departments/ Group Companies.
