Corporate Legal Affairs Specialist

Experience 5 to 10 Yrs

Work Location: Chennai - Guindy (Work from office )

Role & responsibilities:

• Draft, review, redline, and negotiate MSAs, SOWs, Change Requests, NDAs, DPAs, Security Exhibits, Vendor Agreements, and Subcontractor Contracts.
• Lead contractual discussions with customers, prospects, vendors, and internal stakeholders on key risk areas.
• Review and negotiate clauses related to liability, indemnity, SLAs, termination, IP, confidentiality, data protection, and audit rights.
• Maintain contract templates, legal playbooks, contract trackers, and audit-ready contract repositories.
• Collaborate with Sales, Delivery, Product, Finance, HR, and IT/InfoSec on contractual, commercial, operational, and compliance matters.
• Review data protection and information security clauses in alignment with applicable laws, customer commitments, and internal controls.
• Support company law, board/shareholder documentation, regulatory filings, FEMA, ODI/FDI documentation, and other corporate compliance activities under the guidance of the Head Finance & Legal.
• Coordinate legal notices, claims, employment-related matters, POSH documentation, and dispute/litigation readiness.
• Liaise with external legal counsel on legal matters, disputes, and litigation-related requirements.
• Support M&A, investments, due diligence, contract abstraction, data-room management, and other special legal projects.
• Guide and mentor junior legal team members and support day-to-day legal operations.
• Prepare and maintain legal MIS, contract dashboards, trackers, and periodic management reports.
