Corporate Lawyer - Associate

Responsibilities

• Draft, review, and negotiate corporate contracts, agreements, and business transactions.
• Liaise with external counsel to manage and streamline legal processes.
• Assist with mergers and acquisitions, business restructuring, and related transactions.
• Ensure compliance with corporate governance, statutory and regulatory requirements, including ROC compliance.
• Oversee intellectual property (IP) management, policy development, and compliance.
• Maintain accuracy and legal compliance of all documents and contracts, including documentation and record management.
• Ensure timely and effective resolution of legal queries and successful closure of negotiations.
• Execute legal advice provided by senior legal counsel on a wide array of corporate legal matters.
• Conduct legal due diligence and support risk management.
• Manage vendor contracts and ensure applicable taxation, import/export, and nutraceutical compliance.
• Visit courts and government offices and liaise with government officials and relevant stakeholders.

Required Skills

• Proficiency in legal research tools and resources, such as SCC Online and Manupatra.
• Strong knowledge of corporate law, tax law, intellectual property law, labour laws, contract laws, and import/export laws.
• Understanding of statutory compliance, ROC compliance, legal due diligence, and nutraceutical compliance.
• Expertise in Microsoft Office Suite and legal or contract management software.
• Excellent verbal and written communication skills.
• Ability to explain complex legal concepts to non-experts.
• Strong negotiation and persuasion skills.
• Organizational and time management skills.
• Ability to work independently and collaboratively within a team.
• Effective decision-making and problem-solving abilities.

Required Qualifications

• Minimum 1 year of relevant experience.
• Proven experience in corporate law, contract drafting, and negotiation.
• Knowledge of mergers, acquisitions, and business restructuring is a plus.
• Familiarity with legal compliance in international contexts is preferred.
• Required: Bachelor of Laws (LL.B.) from a recognized university.
• Preferred: Master of Laws (LL.M.).
