Job Description – Assistant Manager – Contracts & Legal

Designation: Assistant Manager – Contracts & Legal

Location: Noida

Role

To support the organization in managing contractual and legal matters through contract drafting, legal vetting, contract review, negotiation, dispute resolution and compliance management. The role is responsible for safeguarding the company's legal and commercial interests, minimizing contractual risks and ensuring legally compliant business operations across manufacturing, procurement, supply chain, sales and channel partner networks.

Key Responsibilities & Deliverables

• Draft, review, legally vet and negotiate all commercial agreements including customer contracts, supply agreements, procurement contracts, EPC contracts, channel partner agreements, service contracts, NDAs, lease agreements and other business-related documents while safeguarding the organization's legal and commercial interests.
• Identify, assess and mitigate contractual, legal and commercial risks by providing legal opinions, recommending appropriate contract clauses and ensuring compliance with applicable laws, regulations and internal policies.
• Support Sales, Manufacturing, SCM, Procurement, Projects and Finance teams on contract management, tender reviews, bid submissions, customer engagements, supplier negotiations and strategic business transactions.
• Manage end-to-end contract lifecycle activities including drafting, execution, amendments, renewals, obligations tracking, claims management, contract closure and maintenance of contract repository and legal records.
• Handle legal notices, contractual disputes, customer and supplier claims, arbitration proceedings, mediation matters and litigation coordination to ensure timely and cost-effective resolution of legal issues.
• Drive legal compliance, governance and continuous improvement by standardizing contract templates, conducting legal due diligence, monitoring regulatory changes and ensuring robust legal documentation practices across the solar module manufacturing and sales business.
  
  

Educational Qualification

• LL.B. from a recognized university.
• LL.M. in Corporate Law, Commercial Law or Arbitration preferred.
  
  

Experience

• 4–8 years of experience in Contracts & Legal functions.
• Experience in Solar, Renewable Energy, Manufacturing, EPC, Industrial Projects or Infrastructure sectors preferred.
• Strong exposure to contract drafting, legal vetting, contract negotiations, dispute resolution and arbitration.
• Experience handling commercial contracts, procurement agreements, customer contracts and channel partner agreements.
