Company Secretary

We are looking for an experienced Company Secretary to manage corporate governance, secretarial, and regulatory compliance functions. The ideal candidate should have strong knowledge of Companies Act, SEBI regulations, and RBI/NBFC compliance, with prior experience in NBFCs and listed companies preferred.

Key Responsibilities

• Ensure compliance with the Companies Act, SEBI regulations, RBI/NBFC guidelines, and other applicable corporate laws.
• Manage Board Meetings, Committee Meetings, AGM/EGM processes, including preparation of agendas, minutes, and resolutions.
• Handle all statutory filings and disclosures with ROC, SEBI, stock exchanges, and other regulatory authorities.
• Maintain statutory registers, records, and secretarial documentation.
• Support corporate governance initiatives and ensure adherence to regulatory and compliance frameworks.
• Coordinate with internal stakeholders, auditors, legal advisors, and regulatory bodies.
• Assist in due diligence, fundraising, corporate restructuring, and other strategic initiatives, as required.
• Monitor changes in applicable laws and advise management on compliance requirements and implications.

Qualifications

• Qualified Company Secretary (CS) from ICSI.
• 5-8 years of post-qualification experience in corporate secretarial and compliance functions.
• Prior experience in NBFCs and/or listed entities will be preferred.
• Strong understanding of corporate laws, SEBI regulations, and RBI

compliance requirements.

• Excellent drafting, communication, and stakeholder management skills.
• Ability to work independently and manage multiple compliance timelines effectively.
