Company Secretary

Roles & Responsibilities:

• Ensure to maintain of Statutory Records and registers of company.
• Convene Board Meetings and other committee meetings, preparation of notice, agendas, minutes of meetings
• Convene Annual General Meeting (AGMs) and Extra – Ordinary General Meetings preparations and keeping
• Oversee the review and implementation of internal compliance of policies to keep them aligned with regulatory changes and operational need.
• Manage the preparation and submission of regulatory data and ad-hoc information to the RBI with a focus on completeness and accuracy.
• Promote a strong compliance culture by conducting training sessions and building awareness among employees on key compliance topics and responsibilities.
• Manage the documentation for Corporate Policies and Procedure
• Manage any change in MOA & AOA with proper communication with ROC & RBI.
• Ensure CSR compliances including budget & spendings.
• Maintain the thorough understanding of MCA & RBI applicable regulation as per company operation, Digital lending compliances experience would have preference.
• Filing of Charges, satisfaction of change, Modification of Charge etc.
• Collaborate with relevant stake holders to address any regulatory concern or query.
• Providing support in drafting, vetting and reviewing agreements with respect to RBI and other regulatory compliances.

Experience: - Min 3-5 years as a Company Secretary with RBI compliance function in Financial Services Company
