Job Purpose

To ensure legal compliance for various applicable statutes, to mitigate, minimize & protect the legal financial interests of the company and adopt the best Board practises & corporate governance standards.

Key Result Areas

	KRA (Accountabilities) (Max 1325 Characters)	Supporting Actions (Max 1325 Characters)
KRA1	Plan & facilitate all activities for initiation, conduct & conclusion of board meeting & subcommittee meetings so as to ensure conformance to applicable statutes	1. Organizing Board and Board Committee meetings in an efficient and professional manner collating agenda items taking down minutes and tracking the actionables 2. Monitoring changes in relevant legislation, regulations affecting the Company preparing suitable MIS and taking appropriate action, if required 3. Creation of standard operating practices and standard templates for key functional areas to ensure continuity and clarity in operations.
KRA2	Ensure compliance of various legal provisions to minimize risks & safeguard the legal privileges & interests of the company	1. Ensuring compliance with corporate and other applicable laws, IRDA regulations (partially) and adherence to Company¿s investment code by getting disclosures on timely basis 1. Ensuring a framework to manage litigation and non litigation matters in a cost effective and risk aversive manner and taking required proactive steps in this direction 2. Creation of standard operating practices and standard templates to reduce person dependency and to ensure continuity in operations 2. Periodic review of key company policies and documents having external interface to ensure plugging of legal loopholes, if any.
KRA3	Review the products from a legal perspective & provide legal insight to internal stakeholders to ensure clearance of the products	1. Key member of Product Development team for providing legal inputs from the product inception stage till launch 2. Building adequate legal safeguards in the product documents 3. Counselling the internal stakeholders viz. Claims, CS, OPS, Sales etc. on various legal and compliance issues
KRA4	Administer the working of various employees¿ benefit Trusts to ensure Compliance of various statutory provisions applicable to these trusts	1. Conduct meetings of the Board of Trustees of Provident Fund, Superannuation and Gratuity Trusts. 2. Continuous improvement in the service levels to the employees and ex-employees of the Company
KRA5	Assess and recommend the best board practices and corporate governance standards	1. Assess best board practices prevailing in the industry as well as from the holding company (ABNL) and adopt the same for BSLI. 2. Preparing and recommending a corporate governance road map to ensure adoption of non-mandatory provisions to the maximum possible extent. 3. Monitoring the adherence to the best practices/ standards subsequent to their adoption by the Company.
KRA6	Create, retain and develop a good team	1. Mentor, supervise, coach and well as provide direction to sub-ordinates. 2. Identifying the training needs of the team members and encouraging them to take higher responsibilities.
