About this role
- Possess sound knowledge of the Companies Act, 2013, SEBI Listing Regulations, SEBI Insider Trading Regulations and other applicable SEBI Regulations.
- Drafting Notice, Agenda and Minutes of Committee meetings, Board meetings and Annual / Extra Ordinary General Meetings.
- Preparation and filing of various e-forms on MCA portal.
- Processing documents of KYC, Duplicate share certificate, Name change, Transmission and IEPF claim received from the shareholders.
- Assist in conducting Committee meetings, Board meetings, Annual / Extra Ordinary General Meetings including e-voting process, Postal Ballot process.
- Corporate re-structuring, Due Diligence in case of M&A transactions.
- Compliance of applicable laws and regulations of entities incorporated outside India.
- Incorporation of entities outside India.
- Well versed with the website of MCA, BSE Listing Centre, NEAPS, SEBI scores and IEPF.
- Maintain and update various Statutory Registers under the Companies Act, 2013.
- Filing of Financial Statements in XBRL mode.
- Assist in preparation of Integrated Annual Report and co-ordination with various departments and consultants.
- Track and analyse amendments in corporate and securities laws, SEBI circulars and regulatory orders and assess their applicability and assist in preparing compliance action plan.
- Administering and monitoring Compliance Tool including Tracking compliance status under various applicable Laws and automation of Secretarial records.
- Liaison with NSDL, CDSL, RTA and Scrutinizer for compliance under various Acts, Annual / Extra Ordinary General Meeting, Corporate Actions etc.
- Manage Investor Relations and handle shareholders communication.
