Company Secretary

Position: Manager/Senior Manager Corporate Compliance & Regulatory Affairs (MCA/ROC/NBFC)

About the Role: We are seeking an experienced compliance professional to oversee statutory, regulatory, and corporate governance functions across a multi-entity group (including LLPs, domestic and overseas companies).

Key Responsibilities:

• Manage and review MCA & ROC compliances, statutory filings, and annual returns (including XRBL filings & Directors' Reports) across group companies and LLPs
• Coordinate operational documentation, and corporate actions (NCD issuance, capital restructuring, share dematerialization)
• Draft Board and Shareholders' resolutions in line with the Companies Act
• Maintain and update LLP agreements per the LLP Act; manage event-based compliances (capital changes, debenture issuance, subsidiary conversions, BEN-1 compliance)
• Ensure CSR compliance documentation and adherence to statutory requirements
• Review external loan documentation for timely execution
• Oversee documentation for Foreign Companies and shareholder agreements
• Review and structure inter-group agreements loan, rent, land/sale deeds — ensuring proper documentation
• Manage documentation and regulatory compliance for Non-Convertible Debenture (NCD) issuances

Requirements:

• Company Secretary (CS) with minimum 10 years of working experience.
• Strong knowledge of Companies Act, LLP Act, RBI regulatory frameworks
• Prior experience with multi-entity/group compliance management preferred
• Good documentation, drafting, and coordination skills
