Company Secretary

Key Responsibilities:

• Assist in ensuring complete compliance under corporate laws, securities laws, SEBI Act, FEMA, and other applicable Acts, Rules and Regulations.
• Support secretarial and compliance functions including preparation of agenda, convening, conducting and drafting minutes of Board, Committee, shareholder, creditor, inter-departmental and regulatory meetings.
• Ensure compliance requirements for subsidiaries and maintain statutory records, registers, MIS, and documentation required for effective corporate governance and board processes, including AGM manuals.
• Monitor activities related to security creation and documentation, including coordination with financial institutions/lenders, execution and registration of security documents.
• Assist in resolving queries and complaints received from shareholders, SEBI, Stock Exchanges, and other statutory authorities.
• Liaise with regulatory authorities including Stock Exchanges, Registrar of Companies, Ministry of Corporate Affairs, SEBI, RBI, Company Law Board, Regional Director, and financial institutions.
• Support formulation and implementation of policies relating to compliance management, investor servicing, corporate governance, legal and procedural compliance, security creation, and documentation.
• Assist in CSR activities including monitoring, reporting to the Board, and policy formulation.
• Maintain a high-performance culture through effective training, coaching, and continuous skill upgradation in line with organizational values and ethics.
