Company Secretary

1. Companies Act & Secretarial Compliance

• Ensure compliance with the Companies Act, 2013 and applicable rules
• Conduct Board Meetings, Committee Meetings, and General Meetings (AGM/EGM)
• Draft agendas, notices, minutes, and resolutions
• Maintain statutory registers and records
• Filing of forms and returns with ROC/MCA within prescribed timelines

2. FEMA & RBI Compliance

• Handle FEMA compliances relating to FDI, ODI, ECB, and other cross-border transactions
• Filing of forms such as FC-GPR, FC-TRS, ODI forms, etc.
• Liaise with Authorized Dealers (AD Banks) and RBI
• Ensure pricing guidelines and sectoral caps compliance

3. Share Issuance & Capital Restructuring

• Manage end-to-end process of issuance of shares (private placement, rights issue, ESOPs, preferential allotment, etc.)
• Draft and implement resolutions, offer letters, and allotment documents
• Ensure compliance with valuation norms and regulatory approvals
• Handle share transfers, transmission, and buy-back processes

Skills Required:

• Member of the Institute of Company Secretaries of India (ICSI)
• 3-8 years of experience in a similar role in a public limited company, preferably unlisted
• Thorough understanding of the Companies Act, 2013, FEMA regulations, and corporate governance norms  
• Excellent organizational, communication, and interpersonal skills.
• Strong analytical and problem-solving abilities.
• Proficient in MS Office and secretarial software toolsRole & responsibilities
