Company Secretary & Compliance Officer - AIF Fund

About the job:

We are recruiting on behalf of a premier SEBI-Registered Category III Alternative Investment Fund (AIF).

The firm manages multiple active schemes focused on Indian public markets, private equity, and diversified investment classes for high-net-worth individuals, family offices, and corporate leaders.

They are seeking a detail-oriented Compliance Officer to manage regulatory compliance, statutory filings, fund administration, and corporate governance across their fund activities.

Key Responsibilities:

- Regulatory Compliance: Ensure complete compliance with SEBI AIF Regulations, IFSCA, Companies Act, LLP Act, FEMA, RBI, PMLA/KYC-AML, Trust laws, and other applicable statutes.

- Statutory & Regulatory Filings: Manage compliance calendars, statutory registers, regulatory reporting, inspections, ROC filings, and audits.

- Stakeholder & Intermediary Coordination: Liaise with Trustees, Custodians, Fund Accountants, RTAs (CAMS/KFintech), Brokers, Depositories, Banks, and Legal Advisors.

- Investor Onboarding & Operations: Oversee investor onboarding, KYC/AML processes, capital calls, subscriptions, transfers, and investor communications.

- Corporate Governance: Manage agendas, minutes, and action-tracking for Board, Committee, and Shareholder/Trustee meetings.

- Trust & NGO Management: Oversee NGO/trust compliances, governance, statutory filings, and project implementation monitoring.

- Reporting & Strategy: Prepare compliance MIS, dashboards, and reporting for senior management and regulators while supporting strategic initiatives.

Key Qualifications & Requirements:

- Experience: 4 - 8 years of relevant compliance experience within an AIF, Asset Management Company (AMC), or broader financial services industry.

- Education: Qualified Company Secretary (CS) or Graduate in Law, Commerce, Finance, or a related discipline (LLB degree is a strong advantage).

- Technical Skills: High proficiency in Microsoft Office, particularly Excel and PowerPoint
