Role Requirements

The candidate must have 7–8+ years of post-qualification experience in Banking, NBFC or Financial Services, with strong experience in:

• Supply Chain Finance
• Co-lending
• Bilateral loan documentation
• Lending and security documentation
• Legal drafting and negotiation
• Lending products
• Applicable laws and RBI regulations

Required Qualifications and Skills

• LLB or LLM
• Hands-on experience in Supply Chain Finance documentation
• Experience in co-lending structures and agreements
• Experience in bilateral loan and security documentation
• Experience reviewing Business Correspondent agreements
• Experience reviewing DSA agreements
• Strong legal drafting, vetting and negotiation skills
• Strong legal research and analytical abilities
• Excellent communication skills
• Strong attention to detail
• Tech-friendly mindset

The candidate should have a strong command of the relevant provisions and principles under:

• Companies Act
• Indian Contract Act
• Sale of Goods Act
• Transfer of Property Act
• Principles of Hypothecation
• Insolvency and Bankruptcy Code
• SARFAESI Act

The candidate should possess a good understanding of:

• RBI Master Directions applicable to NBFCs
• RBI Outsourcing Guidelines
• RBI Co-lending Guidelines

Key Responsibilities

• Draft, review, vet and negotiate Business Correspondent agreements, DSA agreements and related onboarding documentation.
• Draft, review, vet and negotiate secured and unsecured facility agreements.
• Draft, review, vet and negotiate co-lending agreements and Service Level Agreements.
• Draft and review hypothecation deeds, guarantees, Demand Promissory Notes and Non-Disclosure Agreements.
• Draft and review corporate authorisations, resolutions and ancillary documents.
• Review constitutional documents and authorisations for lending transactions.
• Conduct legal research and track regulatory updates affecting NBFC operations.
• Liaise with external counsel, law firms and consultants for transactional and legal support.
• Assist in maintaining legal documentation systems and records.

Preferred Candidate Profile

The ideal candidate will be a lending-legal professional from a Bank, NBFC or Financial Services organisation with direct, hands-on responsibility for Supply Chain Finance, co-lending and bilateral loan documentation.
