About this role
Non-Litigation:
- Advise business teams on regulatory and legal requirements.
- Draft, review, and negotiate contracts, agreements, and other legal documents.
- Draft, review, and negotiate a wide range of commercial agreements, including but not limited to:
- IT and Technology Agreements (Software Licensing, Cloud Services, IT Outsourcing, AMC).
- Vendor and Service Agreements (Procurement, Facility Management, Consulting).
- Confidentiality/Non-Disclosure Agreements (NDAs).
- Regulatory and Compliance-related Contracts (as per SEBI guidelines).
- Ensure contracts are aligned with applicable laws, regulatory requirements, and internal policies.
- Identify and mitigate legal and commercial risks in contractual terms (e.g., indemnity, limitation of liability, IP rights, termination clauses).
- Collaborate with IT, Procurement, Risk, and Business teams to incorporate technical and operational requirements.
- Maintain contract templates and playbooks for standardization and efficiency.
- Support contract lifecycle management, including execution, renewal, and compliance monitoring.
- Ensure compliance with SEBI, and other regulatory guidelines associated with agreements.
- Conduct legal risk assessments and implement mitigation measures.
Litigation:
- Manage and oversee all litigation matters involving the organization, including civil, criminal, regulatory, and arbitration/ODR cases.
- Coordinate with external counsels and law firms for effective representation in courts and tribunals.
- Prepare and review pleadings, affidavits, written statements, and other legal documents for litigation.
- Ensure timely filing of cases, responses, and compliance with court directions.
- Maintain litigation MIS and dashboards for tracking case status and deadlines.
- Handle regulatory notices, inquiries, and investigations from authorities like SEBI, RBI, etc.
- Conduct legal research to strengthen arguments and ensure compliance with evolving laws.
- Liaise with internal teams.
Advisory:
- Provide legal advice and opinions in alignment with compliance requirements.
- Advise on legal risks and recommend mitigation strategies.
- Monitor changes in laws and regulations impacting the organization.
