Job Summary

We are looking for an experienced legal professional with 810 years of experience, specializing in Joint Venture Agreements, Mergers & Acquisitions (M&A), Shareholders’ Agreements, and strategic business transactions. The candidate will be responsible for drafting, reviewing, negotiating, and finalizing legal agreements, conducting legal due diligence, managing transaction risks, and ensuring regulatory compliance.

Key Responsibilities

• Draft, review, negotiate, and finalize Joint Venture Agreements (JVAs), Shareholders’ Agreements (SHAs), Share Purchase Agreements (SPAs), Share Subscription Agreements (SSAs), and Business Transfer Agreements (BTAs).
• Handle legal documentation relating to acquisitions, mergers, strategic investments, and corporate restructuring.
• Conduct legal due diligence and identify legal, commercial, and regulatory risks in proposed transactions.
• Negotiate transaction terms, including indemnities, representations and warranties, exit rights, governance provisions, and dispute resolution.
• Draft and review commercial contracts, NDAs, MoUs, vendor agreements, service agreements, and financial services agreements.
• Ensure compliance with applicable corporate laws, RBI regulations, and other relevant regulatory requirements.
• Coordinate with business teams, finance, compliance, external counsel, and other stakeholders for transaction execution and closure.
• Provide legal advice on contractual disputes, risk mitigation, and corporate matters.
• Maintain legal documentation, standard templates, and transaction records.

Required Qualifications & Experience

• LL.B. from a recognized university; LL.M. preferred.
• 8–10 years of relevant experience in a bank, NBFC, financial services company, corporate legal department, or law firm.
• Strong expertise in Joint Venture Agreements, M&A transactions, Shareholders’ Agreements, and legal due diligence.
• Good understanding of corporate law, transaction structuring, regulatory compliance, and contractual risk management.
• Excellent drafting, negotiation, analytical, and stakeholder management skills.
